1. Acceptance of Terms
By accessing or using Layerum services, you agree to these Terms of Use. If you do not agree, do not use the service.
2. Service Provider
The service is operated by Mark Buchynskyi, sole proprietor (個人事業主), operating in Japan. Business contact: layerum@layerum.com.
Layerum is operated by an individual sole proprietor and is not incorporated as a company.
3. Accounts and Access
- You are responsible for account credentials, API keys, and workspace access controls.
- You must provide accurate information and keep it up to date.
- You are responsible for activities performed through your account and keys.
4. Acceptable Use
You agree not to misuse the service. Prohibited conduct includes:
- Violating laws, regulations, or third-party rights.
- Attempting unauthorized access, disruption, or abuse of platform infrastructure.
- Abusing APIs, rate limits, or access controls.
- Uploading or transmitting malicious code or harmful content.
- Reverse engineering or attempting to extract protected service internals except as permitted by law.
- Using the service to evade safety, security, or usage restrictions.
5. Customer Content
You retain rights to your content. You grant Layerum a limited license to host, process, transmit, store, cache, and display your content solely to provide, secure, maintain, and operate the service.
You represent that you have all rights and permissions necessary for content you upload or process using Layerum.
6. AI Services
Layerum may allow you to connect or configure third-party AI providers. Those providers may generate inaccurate, incomplete, or misleading output.
You are solely responsible for evaluating AI output before relying on it. Do not use the service for high-risk decisions in medical, legal, or financial contexts without independent human review.
You are responsible for the data you submit to AI providers and for your own use of any AI output.
7. Third-Party Services
The platform may integrate with third-party providers, including authentication, storage, database, infrastructure, queue, and model vendors. Those services operate under their own terms and policies.
We do not control third-party services completely and are not responsible for their outages, failures, or security incidents to the extent permitted by law.
8. Availability and Data Loss
We do not guarantee uninterrupted, timely, or error-free operation. The service may be unavailable, delayed, suspended, or modified at any time.
We are not responsible for loss of data, delayed processing, or failed operations to the maximum extent permitted by law. You are responsible for keeping your own backups if your data is critical.
9. Disclaimers
The service is provided on an "as is" and "as available" basis, without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the service will meet your requirements, be fit for a particular purpose, or produce accurate results.
10. Limitation of Liability
To the maximum extent permitted by law, Layerum is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of data, profits, revenue, goodwill, or business opportunities.
To the maximum extent permitted by law, our total liability for any claim will be limited to the amount you paid for the service in the 12 months before the event giving rise to the claim. If you have not paid anything, our total liability is zero.
11. Intellectual Property
Layerum and related software, branding, documentation, and design elements are owned by Layerum or its licensors and are protected by applicable intellectual property laws.
12. Indemnification
You agree to defend and indemnify Layerum from claims, losses, liabilities, damages, and expenses arising out of your content, your use of the service, or your violation of these Terms.
13. Termination
We may suspend or terminate access if you violate these Terms, create legal risk, or misuse the service. We may do so with or without prior notice where permitted by law.
You may stop using the service at any time.
14. Governing Law and Disputes
These Terms are governed by the laws of Japan, without regard to conflict of law principles, unless applicable law requires otherwise.
Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Japan, with the court having jurisdiction over Yokohama, Kanagawa as the agreed forum where legally permitted.
